Company Overview
Shenandoah Life Insurance Company is a Virginia-based mutual insurance company that primarily writes life, annuity, and accident and health business in small communities. It is licensed in 31 states and the District of Columbia. The company was placed in rehabilitation on February 12, 2009, with the State Corporation Commission of the Commonwealth of Virginia appointed as receiver.

On March 12, 2009, the receiver issued a First Directive regarding the payment of commissions. On March 25, 2009, the receiver issued his Second Directive, covering the adoption of hardship requests and appeal procedures. On May 20, 2009, the receiver issued the Third Directive, which placed a moratorium on the payment of dividends on participating life policies. On July 22, 2009, the receiver issued the Fourth Directive, which gave notice of immediate reductions in crediting rates on universal life policies and annuities to minimum guarantees. On December 31, 2009, the receiver issued the Fifth Directive, which was a declaration of zero dividends for 2010.

In August 2009, the receiver completed a reinsurance assumption agreement with Assurant Employee Benefits covering Shenandoah's group benefits business. The receiver is currently evaluating proposals from companies interested in buying the remaining business.
